These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by Ariolas Inc ("Ariolas," "we," "us," or "our"). By accessing our Website or engaging our services, you agree to these Terms.
1. Description of Services
Ariolas provides custom software engineering services, including online and in-house ordering, kitchen display and prep, reservations and table management, loyalty and rewards, inventory and vendor ordering, and staff scheduling and labor, specifically tailored for restaurants and food vendors. The exact scope of any engagement is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW).
2. Acceptance of Terms
By accessing or using our Website or services, you agree to be bound by these Terms and our Privacy Policy.
3. Intellectual Property
Upon full payment of all undisputed fees for a project, Ariolas assigns to the client all rights, title, and interest in the custom code and platform developed specifically for that client. Ariolas retains ownership of pre-existing code libraries and reusable middleware used across multiple client projects, and grants the client a perpetual, royalty-free license to use those components within their delivered platform.
4. Client Responsibilities
Clients are responsible for providing timely access to menu, vendor, and staffing data required to complete the engagement. Delays caused by the client may result in adjusted timelines or additional fees.
5. Fees and Payment
Fees for services are set out in the applicable SOW and billed according to the milestone structure described in that agreement. Late payments may result in a pause of active work until the account is current.
6. Limitation of Liability
To the fullest extent permitted by law, Ariolas shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
7. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
